1. Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you and BaypointAI LLC ("BayPoint AI," "we," "us," or "our") for your use of baypoint.ai and any related web applications, dashboards, APIs, browser extensions, and support services we provide (collectively, the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Services and Eligibility

BayPoint AI provides software tools for online marketplace sellers, including listing intelligence, workflow automation, shipment and feedback utilities, image optimization features, and AI-assisted content generation.

You represent that you are at least 18 years old and can enter into a binding contract.

3. Accounts and Security

• You are responsible for the accuracy of your account information.
• You are responsible for maintaining account credential confidentiality.
• You are responsible for activities under your account unless caused by our breach.
• You must promptly notify us of suspected unauthorized account use.

4. Subscriptions, Billing, and Cancellation

Billing

Paid plans are billed in advance on a recurring monthly or annual cycle. You authorize us and our payment processor to charge the payment method on file for applicable fees, taxes, and any authorized overages.

Plan Changes

• Upgrades may take effect immediately, with prorated adjustments where applicable.
• Downgrades generally take effect at the next billing cycle unless stated otherwise in-product.
• Cancellation stops future renewals; access continues through the paid period.

Trial and Free Tier

If offered, trial and free tier access are subject to published usage limits and may change as described in Section 13.

5. eBay and Third-Party Integrations

Some features rely on third-party platforms and APIs (including eBay). Your use of those integrations may require valid credentials or OAuth authorization and remains subject to third-party terms and policies.

• Service functionality may be impacted by third-party outages, policy changes, or API limits.
• We may suspend or modify integration-dependent features when needed for reliability or compliance.

6. Acceptable Use

You agree not to misuse the Service. Prohibited conduct includes:

• Violating applicable laws, regulations, or third-party terms.
• Attempting unauthorized access, scraping restricted systems, or disrupting service operations.
• Reverse engineering, copying, or reselling the Service except as permitted by law.
• Using the Service for spam, fraud, harassment, malware, or deceptive activity.

7. Data, Privacy, and Retention

Our Privacy Policy explains how we process personal data. By using the Service, you acknowledge that policy.

• You grant us permission to process data needed to operate and improve the Service.
• We apply reasonable safeguards for data security, but no system is absolutely secure.
• Data retention periods vary by feature, account status, and legal obligations.

8. Intellectual Property

The Service, including software, design, branding, and documentation, is owned by BaypointAI LLC or its licensors and protected by law. Subject to these Terms, we grant you a limited, revocable, non-transferable right to use the Service for your internal business purposes.

You retain rights in content you submit. You grant us a non-exclusive license to host, process, and display submitted content solely to provide and improve the Service.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted access, error-free operation, or specific business outcomes from use of the Service.

10. Limitation of Liability

To the fullest extent permitted by law, BaypointAI LLC and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data.

Our aggregate liability for claims related to the Service will not exceed the amount you paid us for the Service during the 12 months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless BaypointAI LLC and its officers, directors, employees, and agents from claims, damages, liabilities, and expenses arising out of your misuse of the Service, violation of these Terms, or violation of law or third-party rights.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. Any dispute arising out of these Terms or the Service will be brought in the state or federal courts located in Broward County, Florida, and each party consents to personal jurisdiction there.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
